The International Paralegal/Office Services Manager is a dual role.  This individual will assist the Associate General Counsel in International and US corporate governance legal matters and will oversee the day to day operations of the executive office. 

Paralegal Functions (60%):
  • Assist with international corporate governance including: acquisitions, corporate formations, corporate maintenance, preparation of documents including articles of incorporations, annual reports, filings and other documents as required. 
  • Prepare and review documents for shareholders, board and coordinate meetings. 
  • Draft and review International and US agreements including: licensing, employment, NDA, sales, distributor and additional agreements as needed. 
  • Assist counsel with international and US compliance issues.
  • Perform legal research and prepare memos and briefs on assigned legal topics including: International and US corporate and employment laws, ethical standards, anti-corruption, privacy, foreign registrations, etc.    
  • Maintain and update electronic records.
  • Oversee relationship with legal vendors and manage payment of legal bills including: obtaining approvals and creating requisitions; following up with legal vendors, Accounts Payable, Purchasing, etc. as needed to ensure payment is completed.
Office Services Management Functions (40%):
  • Supervise and coordinate activities of the executive office. 
  • Responsible for the facilities day-to-day operations.
  • Coordinate office services by developing and supervising programs for the maximum utilization of services and equipment.
  • Work with vendors to negotiate fees and manage contracts for plant service, cleaning services, etc.
  • Order office supplies, and monitor office supply needs including interoffice supplies requiring requisitions. 
  • Plan and schedule office-wide meetings and utilization of conference rooms. 
  • Coordinate with staff regarding meeting needs including: scheduling of conference rooms, planning and ensuring rooms have all required technology, food/beverage, documents and all other required items. 
  • Coordinate with staff on catering for meetings and events. 
  • Responsible for arranging internal office moves.
  • Work with leadership to plan and execute office remodeling, including purchasing furniture, paintings, etc.
  • Plan and schedule office wellness programs including:  designing annual corporate wellness events, arranging on-site wellness screenings, organizing an annual flu shot clinic, and tracking wellness bucks rewards.
  • Assist with planning and organizing staff events – company picnic, holiday events, staff luncheons, etc.
  • Schedule and supervise required maintenance or repair on office areas and equipment and coordinate repairs with property management. 
  • Work with property management company to ensure and improve cleanliness and organization of interior and exterior office space. 
  • Manage and expand recycling and other “green” office initiatives.
Education, Licensure, Certification, Registration
  • Bachelor’s degree required.
  • Paralegal certificate from an ABA approved school preferred. 
Professional Experience:
  • 4+ years of experience in corporate transactional law in a firm or in-house and 2+ years of experience in office operations. 
  • International law and securities experience a plus.
