International Paralegal Manager

The international paralegal manager role.  This individual will work with the Associate General Counsel in International and US corporate governance legal matters, contracts, compliance and will manage a small staff and oversee the day to day operations of the executive office. 

Functions:
  • Assist with international corporate governance including: acquisitions, corporate formations, corporate maintenance, preparation of documents including articles of incorporations, annual reports, filings and other documents as required. 
  • Prepare and review documents for shareholders, board and coordinate meetings. 
  • Draft and review International and US agreements including: licensing, employment, NDA, sales, distributor and additional agreements as needed. 
  • Assist counsel with international and US compliance issues.
  • Perform legal research and prepare memos and briefs on assigned legal topics including: International and US corporate and employment laws, ethical standards, anti-corruption, privacy, foreign registrations, etc.    
  • Maintain and update electronic records.
  • Oversee relationship with vendors and manage payment of legal bills including: obtaining approvals and creating requisitions; following up with legal vendors, Accounts Payable, Purchasing, order executive office supplies, etc. as 
  • Supervise small staff and coordinate activities of the small executive office - including planning annual events and corporate executive meetings and working with executive leadership in office, working with leadership on office moves, remodeling of office, and executive office initiatives, etc..
 
Education, Licensure, Certification, Registration
  • Bachelor’s degree required.
  • Paralegal certificate from an ABA approved school preferred. 
 
Professional Experience:
  • 4+ years of experience in corporate and contracts experience in a firm or in-house and 2+ years of experience in office operations. 
  • International law and securities experience a plus.
